Shop-Asap User Agreement

By accessing or using www.shop-asap.com, creating an account, listing or purchasing products, or otherwise using the Shop-Asap marketplace and related services (collectively, the “Service”), you agree to this User Agreement (“Agreement”), the Shop-Asap Privacy Policy, and any policies or notices incorporated by reference. If you do not agree, do not use the Service.

I. Overview and Marketplace Role
Shop-Asap is an online marketplace and technology venue that enables independent buyers and sellers to discover each other, list products, place orders, communicate, and use integrated payment and transaction tools. Shop-Asap is not the seller, manufacturer, distributor, importer, exporter, carrier, or owner of products listed by independent sellers unless a listing expressly states otherwise.
The sales contract for a marketplace transaction is generally formed directly between the buyer and the seller. The seller is responsible for the product, product description, pricing, availability, legal right to sell, taxes, invoicing, shipping, delivery, warranties, returns and regulatory compliance applicable to that sale. Shop-Asap provides marketplace, workflow, communication and transaction infrastructure and may intervene in disputes or policy violations as described in this Agreement.
Legal title to goods passes according to the terms agreed between buyer and seller and applicable law. Shop-Asap does not independently guarantee the identity of users, product quality, seller performance, buyer payment capacity, delivery performance, or the legality of every listing, although it may conduct verification, screening, monitoring, risk controls and enforcement.
Definitions
“User” means any person or legal entity accessing the Service. “Buyer” means a User purchasing or seeking to purchase a product. “Seller” means a User listing or selling products. “Your Information” means information, content, product data, images, descriptions, messages or other materials you provide through the Service. “Transaction” means a purchase or sale initiated through Shop-Asap.
“Wixxir” refers to the payment and transaction infrastructure/service provider that may be integrated with Shop-Asap to facilitate payment instructions, seller-defined payment terms, collections, settlement flows and related transaction functions. Wixxir is not the seller of marketplace products.
Dispute Resolution Contact
If a dispute arises between you and Shop-Asap, contact hello@shop-asap.com. Shop-Asap may request documents or transaction records and may facilitate communication or platform-level resolution. User-to-user disputes remain principally between the buyer and seller, subject to applicable law and any mandatory rights.
II. Eligibility, Accounts and User Responsibilities
You must be at least 18 years old and legally capable of entering into a binding contract, or use the Service through a lawful business representative with authority to bind the business.
You must provide accurate, current and complete registration, identity, contact and business information and keep it updated.
You are responsible for safeguarding your account credentials and for activity occurring through your account unless caused by Shop-Asap’s own breach or as otherwise required by law.
You may not impersonate another person or company, create deceptive accounts, transfer an account without permission, or use the Service for fraud, money laundering, sanctions evasion or other unlawful activity.
Shop-Asap may require identity, business, payment-method, tax or other verification directly or through third-party providers before allowing certain features or transactions.
Shop-Asap may refuse, limit, suspend or terminate access where verification fails, risk is unacceptable, policies are violated, or required by law or a service provider.
III. Buyer Obligations and Purchase Terms
Before purchasing, buyers must review the product listing, seller information, price, shipping method, delivery estimate, return policy and the payment terms presented at checkout. By confirming an order, the buyer agrees to the seller’s stated sale terms and to complete payment according to the selected payment arrangement.
Shop-Asap may support immediate payment, deferred payment, installment-style payment schedules, delivery-based payment or other seller-defined payment arrangements through Wixxir or other integrated providers. Availability may vary by seller, country, currency, product, risk controls and provider rules. Shop-Asap does not itself extend credit unless expressly stated in a separate written agreement.
A buyer must not initiate an order without a genuine intention and legal ability to complete the transaction. Buyers must provide accurate delivery and contact details and cooperate reasonably with seller and carrier requirements.
Returns, cancellations and refunds are governed by the seller’s disclosed policy, applicable mandatory consumer law, and any Shop-Asap dispute process. Where the parties cannot agree, Shop-Asap may review the transaction and take platform measures, but does not waive or replace rights available under applicable law.
IV. Seller Obligations and Listing Rules
Seller Eligibility and Product Responsibility
A seller must have the legal right, authority, licenses, registrations and permissions required to offer and sell each listed product. Sellers are solely responsible for ensuring that products and listings comply with applicable laws in the origin country, destination country, and any other relevant jurisdiction.
Listings must be accurate, complete and not misleading. Images must fairly represent the product offered. Sellers must disclose material characteristics, price, condition, quantity, shipping terms, expected handling time, applicable restrictions, and return/refund conditions.
Shop-Asap Fees
Shop-Asap currently does not charge a membership fee or monthly subscription fee for standard marketplace participation, and standard product listing quantity is not limited by a paid listing plan. Shop-Asap currently charges a 2% sales commission on completed marketplace sales, unless a different rate is clearly disclosed for a specific service, campaign, category, seller agreement or jurisdiction.
Shop-Asap may change fees or introduce optional paid services by providing reasonable advance notice where required. Temporary promotional pricing may take effect for the stated promotional period. Unless otherwise stated, marketplace fee references are in U.S. Dollars (USD) or the transaction currency shown to the User.
Binding Orders and Seller Performance
When a seller accepts or receives a valid order under the listing terms, the seller must fulfill the order promptly unless there is a legitimate reason not to do so, such as payment failure, inability to verify the buyer where verification is reasonably required, legal restrictions, stock error, or suspected fraud. Sellers may not manipulate prices or transaction terms to avoid Shop-Asap fees or mislead buyers.
Shipping, Delivery and Fulfillment
Each seller manages its own shipping and fulfillment unless Shop-Asap expressly offers a separate logistics service. Sellers are responsible for packaging, carrier selection, shipping cost disclosures, export/import documentation where applicable, tracking, delivery performance and compliance with carrier and customs rules. Shop-Asap is not the carrier and is not responsible for carrier delays, loss or damage except to the extent required by applicable law or expressly assumed in writing.
Where a seller chooses a delivery-based or milestone-based payment condition through Wixxir, the seller is responsible for defining the condition accurately. Release, collection or settlement may depend on the transaction instructions, proof of delivery, buyer confirmation, provider rules, disputes, compliance checks or other configured conditions.
Taxes, Duties and Invoicing
Sellers are responsible for determining, collecting, reporting and remitting taxes, duties, customs charges, VAT/sales tax and other governmental charges applicable to their sales, and for issuing legally required invoices, receipts or fiscal documents, unless applicable law expressly requires Shop-Asap or another provider to perform a specific marketplace tax function. Buyers are responsible for taxes or import charges legally imposed on them.
V. Payments, Wixxir and Transaction Processing
Shop-Asap integrates or may integrate with Wixxir and other payment service providers, banks, card networks or transaction processors. Payment processing and settlement may therefore be subject to separate provider terms, verification requirements, transaction limits, chargeback rules, sanctions screening, anti-fraud controls and applicable financial regulations.
Sellers may be able to define payment and collection terms for their sales, including immediate, deferred, installment, milestone or delivery-based structures supported by the available infrastructure. The specific terms shown and accepted at checkout form part of the buyer-seller transaction.
Where supported, amounts payable to sellers may be transferred or made available through Wixxir or connected payment rails in accordance with the transaction structure and provider processing. Processing times, holds, reserves, refunds, chargebacks, compliance reviews, currency conversion and bank transfer fees may affect timing or net amounts. Shop-Asap does not guarantee uninterrupted payment availability or a particular settlement time where a third-party provider is involved.
Users must not circumvent Shop-Asap transaction processing for the purpose of avoiding platform fees, fraud controls, records, or agreed transaction protections when the transaction was initiated through Shop-Asap.
VI. Prohibited and Restricted Products and Activities
You may not list, buy, sell, promote or transact in products or services that are illegal, stolen, counterfeit, infringing, fraudulent, unsafe, sanctioned or otherwise prohibited by applicable law, Shop-Asap policies, or the rules of Shop-Asap’s payment service providers. Shop-Asap may use the prohibited and restricted business/product rules of its integrated payment providers, including Stripe rules where Stripe services are used, as a minimum platform restriction standard.
Illegal, stolen, counterfeit or fraudulently represented goods.
Items that infringe copyright, trademark, patent, privacy, publicity or other intellectual-property rights.
Products subject to recall, safety prohibition or unlawful export/import restrictions.
Products or transactions prohibited by sanctions, anti-money-laundering, anti-terrorist-financing or payment-network rules.
Content or products involving exploitation, child sexual abuse material, unlawful pornography, unlawful weapons, dangerous substances, or other categories prohibited by applicable law or payment-provider rules.
Misleading listings, fake reviews, price manipulation, sham transactions, fee avoidance, phishing, malware, scraping or automated access that harms or circumvents the Service.
Shop-Asap may remove listings, block transactions, request additional documentation, withhold access to features, suspend or terminate accounts, and cooperate with authorities or providers where reasonably necessary for legal, safety, fraud-prevention or policy-enforcement purposes.
VII. Content, Intellectual Property and Platform Access
You retain ownership of content you lawfully own. By uploading product images, descriptions, logos, profile information, reviews or other content, you grant Shop-Asap a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, distribute and use that content as reasonably necessary to operate, promote and improve the Service and your listings, subject to applicable privacy law.
You represent that you have the rights necessary to upload and use such content. Shop-Asap may remove content that violates law, this Agreement, intellectual-property rights, platform policies, or provider requirements.
Shop-Asap names, logos, software, page designs, interfaces, databases and other proprietary elements are protected by applicable intellectual-property laws. You may not copy, reverse engineer, scrape, interfere with, overload, bypass security of, or commercially exploit the Service except as expressly permitted in writing or by mandatory law.
VIII. Reviews, Communications and Conduct
Users must communicate honestly and professionally. Reviews, ratings, comments and messages must reflect genuine experiences and may not be purchased, manipulated, coerced, fabricated or used for harassment, extortion or discrimination. Shop-Asap may remove or limit abusive or deceptive content.
Shop-Asap may send service-related emails, account notices, transaction notifications, verification messages and other operational communications to the contact details associated with your account. Marketing communications will be handled in accordance with applicable law and available opt-out mechanisms.
IX. Returns, Refunds, Chargebacks and Disputes
Sellers must clearly state return and refund terms and comply with mandatory consumer-protection laws. Buyers must first raise product, delivery, cancellation or refund issues with the seller through available Shop-Asap channels where practicable.
If buyer and seller cannot resolve a dispute by mutual agreement, Shop-Asap may review available evidence and may take marketplace actions such as facilitating communication, restricting an account or listing, recording a resolution, or instructing a transaction step where supported by the payment infrastructure and legally permitted. Shop-Asap’s platform intervention does not make Shop-Asap the seller or guarantor of the transaction.
Chargebacks, card disputes and payment reversals are also subject to the rules of the relevant bank, card network or payment provider. Sellers are responsible for providing evidence requested in connection with disputes relating to their transactions.
X. Suspension, Termination and Enforcement
Without limiting other remedies, Shop-Asap may warn a User, limit functionality, remove listings, delay or block transactions, suspend or terminate an account, or refuse Service where Shop-Asap reasonably believes that the User has violated this Agreement or another policy, failed verification, created legal or financial risk, engaged in fraud or abuse, or where action is requested by a competent authority or service provider.
Termination does not cancel obligations accrued before termination, including valid buyer-seller obligations, unpaid fees, refunds, chargebacks, tax obligations, intellectual-property responsibilities, indemnities or dispute-related duties.
XI. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” SHOP-ASAP AND ITS OPERATING OR AFFILIATED COMPANIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND SUPPLIERS DISCLAIM WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. SHOP-ASAP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY USER, PRODUCT, LISTING, DELIVERY OR TRANSACTION WILL MEET YOUR EXPECTATIONS.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent legally permitted and do not limit mandatory consumer rights.
XII. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOP-ASAP AND ITS OPERATING OR AFFILIATED COMPANIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, LOSS OF OPPORTUNITY, OR DAMAGES ARISING FROM USER-TO-USER CONDUCT, THIRD-PARTY PAYMENT SERVICES, CARRIERS, CUSTOMS, OR PRODUCTS SOLD BY INDEPENDENT SELLERS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SHOP-ASAP ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE SHOP-ASAP FEES ACTUALLY PAID BY YOU TO SHOP-ASAP DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) USD 100. THIS LIMIT DOES NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED.
XIII. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Shop-Asap, GPM Invest & Trade Inc., BBPAF LTD, Orenda GTA AŞ, and their respective officers, directors, employees, agents and service providers from third-party claims, losses, liabilities, penalties and reasonable legal fees arising from your listings, products, sales, purchases, content, tax or regulatory obligations, breach of this Agreement, violation of law, or infringement of another person’s rights.
XIV. Privacy and Data Protection
Shop-Asap processes personal information in accordance with the Shop-Asap Privacy Policy. Buyer and seller information may be shared with each other and with payment, verification, fraud-prevention, shipping, hosting, communication and other service providers to the extent reasonably necessary to operate the Service, complete transactions, comply with law or resolve disputes.

XV. Changes to the Service and Agreement
Shop-Asap may modify the Service, this Agreement, fees, policies or features from time to time. Material changes will be communicated by reasonable means, such as posting an updated version on the Website, in-account notice or email where appropriate or legally required. Continued use after the effective date of an update constitutes acceptance to the extent permitted by law. If you do not agree with an update, you must stop using the affected Service.
XVI. Governing Law and Legal Compliance
You must comply with all domestic and international laws applicable to your use of Shop-Asap, including laws relating to consumer protection, product safety, intellectual property, privacy, tax, customs, sanctions, export controls, anti-bribery and fair trading.
Except where mandatory consumer law requires otherwise, this Agreement and claims between you and the primary Shop-Asap operator, GPM Invest & Trade Inc., are governed by the laws of the State of New York, without regard to conflict-of-law principles. Subject to any mandatory jurisdiction rights, courts located in New York County, New York shall have jurisdiction over disputes that are not otherwise resolved.
XVII. Miscellaneous
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in effect and the affected provision will be enforced to the maximum extent permitted by law. Failure to enforce a provision is not a waiver. Headings are for convenience only. This Agreement, together with incorporated policies and any transaction-specific terms accepted by the User, constitutes the agreement governing use of the Service.
Shop-Asap may assign or transfer this Agreement as part of a corporate reorganization, merger, sale, financing, transfer of the Service or similar transaction. Users may not assign this Agreement without Shop-Asap’s prior written consent except where applicable law provides otherwise.
